20th Anniversary Sweepstakes: Celebrate 20 Years of Style with BCBGMAXAZRIA

1. No purchase necessary to enter or to win. Sweepstakes void where prohibited by law.

2. The 20th Anniversary Sweepstakes (the "Sweepstakes") is sponsored by BCBG Max Azria Group, Inc. ("BCBGMAXAZRIA").

3. The Sweepstakes begins on March 28, 2009, and ends at 12:30 p.m. PST on May 8, 2009.

4. The Sweepstakes is open to legal residents of the United States of America, except for residents of Puerto Rico, who are 18 years of age or older as of March 28, 2009. Employees and agents, including their immediate family members and members of their household, of BCBGMAXAZRIA and its affiliates, partners, subsidiaries, distributors, franchisees and agents, including any advertising agencies and consultants, are not eligible to participate.

5. There are two ways to enter the Sweepstakes: (1) Online: Go to www.bcbgmaxazriagroup.com and click the "Sweepstakes" link in the footer to be linked to the Official Entry Form. Complete all of the questions and provide your name, address, mobile number and email address (if you have one) and send your entry by clicking the "Submit" link on the Sweepstakes page. All online entries must be submitted by 12:30 p.m. PST on May 8, 2009. (2) By US Mail: Legibly print your name, address, email address (if you have one) and mobile number on a 3" x 5" card and mail to: BCBGMAXAZRIA 20th Anniversary Sweepstakes, ATTN: Marketing, 2761 Fruitland Avenue, Vernon, CA 90058. All US Mail entries must be postmarked by 12:30 p.m. PST on May 8, 2009, and received by May 15, 2009. Only one entry per person is allowed regardless of the method of entry.

6. One (1) grand prize will be awarded consisting of a $2,000 gift certificate for use in any BCBGMAXAZRIA retail store in the US toward the purchase of any BCBGMAXAZRIA merchandise. Certain restrictions may apply. Gift certificate may be used at any BCBGMAXAZRIA retail store located within the United States, except Encino, California, and Sioux Falls, South Dakota. If a retail store is not located within a reasonable distance from the winner's residence, arrangements will be made for the winner to order products via bcbg.com. Winner will receive store credit, and will not receive cash back, for any portion of the gift certificate not used. BCBGMAXAZRIA reserves the right to substitute a prize of equal or greater value at its sole discretion. The prize cannot be redeemed for cash and may not be substituted or transferred by the winner.

7. The odds of winning depend upon the number of eligible entries received.

8. BCBGMAXAZRIA is not responsible for telecommunications, network, electronic, technical or computer failures of any kind or for lost, stolen, misdirected, mutilated, late or illegible entry forms or postage due. Entries that are generated by a script, macro or other automated means and/or otherwise not in compliance with these rules will be disqualified. BCBGMAXAZRIA shall have the absolute right to determine if an entry form is in compliance with these rules.

9. By entering the Sweepstakes, each participant warrants that he or she has read and agrees to abide by all Sweepstakes Official Rules and that he or she is not prohibited from participating in the Sweepstakes. Each participant agrees to release, discharge, indemnify and hold harmless BCBGMAXAZRIA and its affiliates, partners, subsidiaries, distributors, franchisees, employees, officers, directors, agents, representatives and advertising and promotion agencies from any liability arising from or related to the Sweepstakes, including without limitation, personal injury, death, property damage and claims based on publicity rights, defamation or invasion of privacy.

10. The winner will be determined by random drawing from among all eligible entries on or around May 15, 2009. The drawing will be conducted by an independent representative selected by BCBGMAXAZRIA at the time of the drawing. All decisions of the representative are final and binding.

11. After the first entry form is selected, a second entry form will be selected and placed in a sealed envelope. The sealed envelope will be given to BCBGMAXAZRIA's external attorneys to be held in trust. In the event that the first entry form selected is discovered to be invalid for any reason whatsoever, or if the person who submitted the first entry form does not contact BCBGMAXAZRIA within the time frame specified below, the person who submitted the second entry form selected will become the winner, subject to the same rules and conditions set forth herein.

12. The winner will be notified by email and/or telephone, and will be given instructions on how to claim the prize. BCBGMAXAZRIA is not responsible for lost, stolen, late or misdirected mail. If unable to make contact with the winner, or if the winner fails to claim the prize within fourteen (14) days after notification, BCBGMAXAZRIA will select an alternate winner in accordance with these rules. Likewise, if the original winner is ineligible or fails to timely return the signed Affidavit and Release(s), or in the event of non-compliance with any other requirements of this Sweepstakes, the winner shall forfeit the prize in its entirety, and BCBGMAXAZRIA will award the prize to the alternate winner.

13. The winner is responsible for any and all income, sales or excise taxes that may apply. BCBGMAXAZRIA shall not be liable for any such expense.

14. The winner will be required to sign and return to BCBGMAXAZRIA an Affidavit of Eligibility and a Prize and/or Publicity Release.

15. By entering this Sweepstakes, participants consent to the use of their name, likeness, image and biographical data for advertising and promotional purpose without additional compensation, except where prohibited by law. BECAUSE BCBGMAXAZRIAGROUP.COM COLLECTS PERSONAL INFORMATION FROM PARTICIPANTS ENTERING THIS SWEEPSTAKES, BCBGMAXAZRIAGROUP.COM ENCOURAGES ALL PARTICIPANTS TO REVIEW ITS PRIVACY POLICY.

16. BCBGMAXAZRIA reserves the right to terminate this Sweepstakes or modify any rules as necessary for any reason or as required by applicable law. BCBGMAXAZRIA reserves the right, at its sole discretion, to disqualify any person it believes has intentionally violated these rules or tampered with any element of this Sweepstakes.

17. If by reason of a printing or other type of error more prizes are claimed than the number set forth in these official rules, all persons making purportedly valid claims will be included in a random drawing to award the advertised number of prizes available in the prize category in question. No more than the advertised number of prizes will be awarded.

18. All entry forms become the property of BCBGMAXAZRIA and will not be returned. Information on the entry forms may be shared with BCBGMAXAZRIA's partners, distributors, franchisees, subsidiaries, advertising and promotion agencies and affiliates, including Unilever Cosmetics International.

19. This Agreement is governed by the laws of the State of California, without giving effect to conflicts of law rules.

20. The winner's name will be posted on the bcbgmaxazriagroup.com website upon conclusion of the Sweepstakes. Additionally, to obtain the name of the winner, send a stamped, self-addressed envelope to: Winner Name, BCBGMAXAZRIA 20th Anniversary Sweepstakes, ATTN: Marketing, 2761 Fruitland Avenue, Vernon, CA 90058.
